Legal
Terms & Conditions
Last updated: September 9, 2026. This document governs your use of the OFM Agencies platform and forms a binding contract upon your acceptance of it during registration.
These Terms & Conditions ("Terms") constitute a legally binding agreement between you, in your capacity as an individual manager or as an authorized representative of a talent-management agency ("Agency," "Manager," "you," or "your"), and OFM Agencies, operating the website located at ofmagencies.com and any successor domain, subdomain, application, or interface through which the same service is made available (collectively, the "Platform," "OFM Agencies," "we," "us," or "our"). By creating an account, submitting information through the onboarding wizard, or otherwise accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety, together with our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not register for, access, or otherwise use the Platform.
1. Definitions
For purposes of these Terms, the following capitalized terms have the meanings set out below:
- "Account" means the record created by an Agency or Manager on the Platform, comprising the Registration Data, Verification Data, and any associated Public Profile.
- "Model" or "Creator" means any individual content creator who engages, or is solicited to engage, the management or representation services of an Agency or Manager listed or seeking to be listed on the Platform.
- "Registration Data" means the information submitted by an Agency or Manager during onboarding, including without limitation legal or trade name, representative full name, country of residence, languages spoken, contact handles (Telegram, WhatsApp, Instagram), and, where applicable, corporate details (legal company name, jurisdiction of incorporation, registered address).
- "Verification Data" means the outcome of the identity and liveness verification procedure performed by our third-party identity verification processor, together with any associated status, session identifiers, and decision metadata.
- "Evidence Materials" means the video recording and any other documentation submitted by an Agency or Manager purporting to substantiate self-reported gross earnings, together with the self-reported earnings range, traffic source disclosures, and the date on which such information was last updated.
- "Public Profile" means the subset of Registration Data, Verification Data status, and Evidence Materials that is rendered publicly accessible at a URL of the form ofmagencies.com/@[handle] upon completion of the applicable onboarding step, irrespective of whether an administrative review has been completed.
- "Dispute" means any claim, allegation, or report — whether informal or formal — asserting non-payment, underpayment, breach of a management agreement, misrepresentation, fraud, or any other misconduct by an Agency or Manager in connection with its dealings with a Model or Creator.
2. Eligibility and Account Registration
- You represent and warrant that you are at least eighteen (18) years of age, possess the legal capacity to enter into a binding contract in your jurisdiction of residence, and, where you register on behalf of an Agency, that you are duly authorized to bind that Agency to these Terms.
- You are solely responsible for the accuracy, completeness, and currency of all Registration Data and Evidence Materials submitted. You agree to promptly update any information that becomes inaccurate or outdated.
- You may maintain only one Account per natural person or per Agency. Circumvention of this restriction, including through the use of proxies, nominees, or fabricated identities, constitutes a material breach of these Terms.
- You are responsible for maintaining the confidentiality of any authentication credentials or one-time codes associated with your Account and for all activity that occurs under your Account, whether or not authorized by you.
3. Description of the Verification Service
3.1 Identity Verification
The Platform integrates with a third-party identity verification processor to perform document-based identity verification and liveness detection. We do not independently verify the authenticity of any government-issued identification document; we rely on the determination rendered by our processor and display the resulting status (verified, declined, or pending) on your Public Profile. A "verified" status indicates only that the submitted identity document and a live biometric capture were assessed as consistent by the processor at a specific point in time; it does not constitute a representation, warranty, or guarantee by us as to your creditworthiness, business legitimacy, professional competence, or future conduct.
3.2 Self-Reported Financial and Operational Data
Gross earnings ranges, traffic source disclosures, and any other performance metrics displayed on a Public Profile are self-reported by the Agency or Manager and are not independently audited, verified, or reconciled against any third-party financial records by us, except to the limited extent that Evidence Materials are reviewed as described in Section 3.3. Any figure displayed under "Reported Gross Earnings" or a similarly labeled field is a representation of the submitting party alone, and we expressly disclaim any assurance as to its accuracy.
3.3 Evidence Materials
You may be required, as a condition of completing registration, to submit a screen recording purporting to depict your customer-relationship-management interface or an OnlyFans (or equivalent platform) account dashboard. You acknowledge that: (a) such recordings are reviewed on a best-efforts basis and may not be independently authenticated for tampering, staging, or selective disclosure; (b) an administrator may reject Evidence Materials and require resubmission, or, at our sole discretion, may render a determination without administrative review where an identity check has returned a passing result, as further described in Section 4; and (c) by submitting Evidence Materials you grant us the license described in Section 7.
3.4 Public Profile Visibility
Unless and until you request account deletion under Section 13, your Public Profile becomes accessible to any person with access to the corresponding URL as soon as the applicable onboarding step is completed, independent of whether administrative or automated approval has occurred. You acknowledge that search engines, third-party archival services, or other parties beyond our control may index, cache, or redistribute publicly accessible content, and that we cannot guarantee removal of such copies upon deletion of your Account.
4. Approval, Rejection, and Automated Decision-Making
- We reserve the right, in our sole and absolute discretion, to approve, reject, suspend, or request resubmission of any Account, Evidence Materials, or component thereof, with or without stated cause.
- You acknowledge and agree that, at present and until further notice, an Account may be approved and its Public Profile marked as approved and public through an automated process triggered solely by a passing outcome of the identity verification described in Section 3.1, without contemporaneous human review of Evidence Materials, Registration Data, or the substance of your management practices. We may discontinue, modify, or reinstate human review requirements at any time without prior notice, and no Agency or Manager acquires any vested right to a particular review methodology.
- A determination of "approved" status is not, and must not be represented to any Model, Creator, or third party as, an endorsement, certification, guarantee, or assurance of the Agency's or Manager's honesty, solvency, business practices, or contractual performance. It reflects solely the technical outcomes described in Sections 3.1 through 3.3.
5. Prohibited Conduct
Without limiting any other provision of these Terms, you shall not:
- submit false, misleading, fabricated, altered, or misappropriated Registration Data, Verification Data, or Evidence Materials;
- impersonate any natural or legal person, or misrepresent your affiliation with any Agency, company, or individual;
- use the Platform, or the fact of your verification status, to solicit, defraud, coerce, or exploit any Model or Creator;
- attempt to circumvent, disable, reverse-engineer, or interfere with the identity verification, storage, or access-control mechanisms of the Platform;
- upload Evidence Materials that you do not have the right to disclose, including recordings that expose the personal data or financial information of any Model or Creator without a lawful basis for such exposure;
- use automated means (scraping, bots, crawlers) to extract data from Public Profiles at scale for purposes other than legitimate due diligence by a prospective Model or Creator; or
- use the Platform in violation of any applicable law, including data protection, consumer protection, anti-fraud, or financial-promotion regulations in your jurisdiction or that of any Model or Creator you engage.
6. Ownership and License Grant
- As between you and us, you retain all right, title, and interest in and to the Registration Data and Evidence Materials you submit, subject to the license granted below.
- You grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, process, and — solely with respect to the Public Profile — publicly display the Registration Data and Evidence Materials, for the duration of your Account and for such additional period as we are entitled to retain such data under Section 9, for the purposes of operating, securing, and improving the Platform, conducting the verification procedures described in Section 3, complying with legal obligations, and making the disclosures described in Section 7.
- You represent and warrant that you hold all rights necessary to grant the foregoing license and that the Evidence Materials do not infringe the intellectual property, privacy, or other rights of any third party, including any Model or Creator depicted or referenced therein.
7. Disclosure of Your Information
7.1 Public Disclosure
You acknowledge that the Public Profile is, by design, accessible to the general public, including prospective Models or Creators, competitors, journalists, and any other member of the public who obtains the corresponding URL, and you consent to such disclosure as a condition of using the Platform.
7.2 Disclosure to Models and Creators in Connection with Disputes or Suspected Fraud
In addition to the Public Profile, you expressly acknowledge, agree, and authorize that we may, at our sole discretion and without further notice to you, disclose any or all of your Registration Data, Verification Data (including verification status and, where we determine it necessary, the underlying decision reference), Evidence Materials, contact information, and any internal notes, complaint history, or communications concerning your Account, to:
- a Model or Creator, or a duly authorized legal representative or agent thereof, who reports to us, in good faith, a Dispute involving you, for the purpose of enabling that Model or Creator to evaluate, substantiate, pursue, or defend against claims arising from such Dispute, including in connection with civil litigation, arbitration, small-claims proceedings, chargeback or payment-reversal requests, or reports to law enforcement, financial institutions, or other platforms (including OnlyFans or equivalent content platforms);
- law enforcement authorities, regulators, or courts of competent jurisdiction, whether upon formal legal process or upon our good-faith determination that disclosure is warranted to prevent or address suspected fraud, financial crime, or harm to a third party;
- payment processors, banks, or financial institutions investigating a payment dispute, chargeback, or suspected fraudulent transaction connected to your Account; and
- our legal counsel, insurers, and professional advisors in connection with the assessment or defense of any actual or threatened claim.
This disclosure right exists independently of, and survives, any approval status, deletion request, or termination of your Account, and applies to information collected both before and after the effective date of these Terms. We do not undertake to verify the merits of a Dispute before making a disclosure under this Section 7.2, and we make no representation as to the accuracy of any characterization of a Dispute communicated to us by a reporting Model or Creator. Our decision to disclose or decline to disclose information under this Section is final and is not subject to appeal.
7.3 Service Providers
We share data with the infrastructure, identity-verification, communications, and hosting providers described in our Privacy Policy, acting as our processors or sub-processors, solely to the extent necessary to operate the Platform.
8. Disclaimer of Warranties
THE PLATFORM AND ALL VERIFICATION OUTCOMES, STATUS INDICATORS, AND CONTENT DISPLAYED THEREON ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR AVAILABILITY. WE DO NOT WARRANT THAT IDENTITY VERIFICATION, EVIDENCE REVIEW, OR ANY OTHER FEATURE OF THE PLATFORM WILL DETECT, PREVENT, OR DISCLOSE ANY INSTANCE OF FRAUD, MISREPRESENTATION, OR MISCONDUCT BY ANY AGENCY, MANAGER, OR THIRD PARTY.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE, OUR OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM, ANY DISCLOSURE MADE PURSUANT TO SECTION 7, OR ANY DISPUTE BETWEEN YOU AND A MODEL, CREATOR, OR THIRD PARTY, REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT, IF ANY, PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100).
10. Indemnification
You agree to indemnify, defend, and hold harmless us and our officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your breach of these Terms; (b) any Dispute between you and a Model, Creator, or other third party; (c) any inaccuracy in your Registration Data or Evidence Materials; or (d) your violation of any applicable law or the rights of any third party.
11. Relationship of the Parties
We are not a party to, and assume no responsibility under, any management, representation, or other agreement between you and any Model or Creator. The Platform is a verification and directory service only. Nothing in these Terms or in your Public Profile status creates an agency, partnership, joint-venture, or employment relationship between you and us.
12. Suspension and Termination
- We may suspend or terminate your Account, remove your Public Profile, and refuse present or future use of the Platform, at any time, with or without notice or cause, including where we determine, in our sole discretion, that you have breached these Terms or that a Dispute concerning you presents a credible risk of harm to a Model, Creator, or the integrity of the Platform.
- You may request deletion of your Account at any time through the Account controls provided on the Platform. Deletion removes your Public Profile from public accessibility on a going-forward basis but does not require us to delete records we are entitled or obligated to retain under Section 9 or to unwind any disclosure already made under Section 7.
- Sections 6 through 11, 13, and 14 through 18 survive any termination or expiration of these Terms.
13. Data Retention
We retain Registration Data, Verification Data, and Evidence Materials for as long as your Account remains active and, following deletion or termination, for such additional period as is reasonably necessary to comply with legal obligations, resolve Disputes, enforce our agreements, and support the disclosures contemplated by Section 7, as further described in our Privacy Policy.
14. Modifications to the Service and These Terms
We may modify, suspend, or discontinue any aspect of the Platform, including the review methodology described in Section 4, at any time without liability to you. We may amend these Terms from time to time by posting the revised version at this URL and updating the "Last updated" date above. Material changes will, where practicable, also be communicated to registered Agencies and Managers by email. Continued use of the Platform after the effective date of any amendment constitutes acceptance of the amended Terms.
15. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws applicable to the operation of the Platform, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the competent courts, and you consent to the personal jurisdiction of such courts.
16. Miscellaneous
- Severability. If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force and effect, and the unenforceable provision shall be reformed to the minimum extent necessary to render it enforceable.
- Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Platform and supersede any prior agreements.
- Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
- No Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
